5. Intellectual Property Rights

5.1 Ownership

All content, materials, and features available on the Website, including but not limited to text, graphics, logos, images, photographs, audio and video clips, menu designs, software, data compilations, and the overall look and feel of the Website (collectively, "Content"), are the exclusive property of Cafe Rio or its licensors and are protected by United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable state intellectual property laws.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for your personal, non-commercial purposes in connection with our services. This license does not include any right to:

  • Reproduce, distribute, publicly display, or create derivative works of the Content;
  • Use the Content for any commercial purpose or for any public display;
  • Remove or alter any copyright, trademark, or other proprietary notices from the Content;
  • Use our trademarks, trade names, service marks, or logos without our prior written consent.

5.3 User-Submitted Content

If you submit any reviews, comments, photos, feedback, or other content to us through the Website or any associated social media channels ("User Content"), you grant Cafe Rio a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not infringe any third-party rights.

6. Payment Terms

6.1 Pricing and Fees

All prices displayed on our Website are in United States Dollars (USD) and are subject to change without notice. Applicable taxes, delivery fees, service charges, and gratuity may be added to your order total at checkout. We reserve the right to correct any pricing errors at any time, and if an error affects your order, we will notify you and give you the option to proceed at the corrected price or cancel your order.

6.2 Payment Methods

We accept various payment methods as indicated on our Website at the time of checkout, which may include major credit and debit cards, digital wallets, and other payment platforms. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that all payment information provided is accurate and complete.

6.3 Authorization

By placing an order through our Website, you authorize Cafe Rio or our designated payment processors to charge the total order amount, including applicable taxes and fees, to your chosen payment method. Payment processing is handled by third-party payment processors, and by using these services, you agree to their respective terms and conditions.

6.4 Refunds and Cancellations

Refund and cancellation policies for food orders vary depending on the type of order and the stage at which a cancellation request is made. Once a food order has entered preparation, we may not be able to process a cancellation or refund. For catering orders, cancellation terms will be set forth in the applicable catering agreement. Requests for refunds must be submitted to us at [email protected] within a reasonable time of the order. We reserve the right to evaluate each refund request on a case-by-case basis in accordance with applicable consumer protection laws.

6.5 Chargebacks

If you initiate a chargeback or payment dispute with your financial institution without first contacting us to attempt to resolve the issue, we reserve the right to suspend or terminate your account. Fraudulent chargebacks may be reported to relevant authorities and may result in legal action.

7. Food Safety, Allergens, and Dietary Information

Cafe Rio takes food safety seriously and complies with applicable federal, state, and local food safety regulations, including those enforced by the U.S. Food and Drug Administration (FDA) and relevant state health departments. However, we cannot guarantee that our food items are free from allergens, as our kitchen may process items containing common allergens such as nuts, gluten, dairy, eggs, shellfish, and soy.

Customers with known food allergies or dietary restrictions are strongly encouraged to:

  • Review all available ingredient and allergen information before ordering;
  • Contact us directly at [email protected] to discuss specific dietary needs;
  • Consult with a healthcare professional regarding their dietary requirements.

Cafe Rio shall not be liable for any allergic reaction, injury, or health consequence resulting from consumption of our food products, except where such liability cannot be excluded under applicable law.

8. Disclaimers and "As-Is" Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL SERVICES PROVIDED BY CAFE RIO ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. CAFE RIO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INCLUDING MENU DESCRIPTIONS, NUTRITIONAL INFORMATION, OR PRICING;
  • WARRANTIES THAT ANY DEFECTS OR ERRORS IN THE WEBSITE WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you to the extent prohibited by applicable law. In such cases, our warranties are limited to the minimum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAFE RIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
  • PERSONAL INJURY OR PROPERTY DAMAGE NOT RESULTING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
  • STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE WEBSITE;
  • ANY OTHER MATTER ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES,

EVEN IF CAFE RIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CAFE RIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CAFE RIO IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and Cafe Rio. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Cafe Rio, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or inability to use the Website or services;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your infringement or misappropriation of any intellectual property, privacy, or other rights of any third party;
  • Any User Content you submit to the Website;
  • Your negligence or willful misconduct;
  • Any dispute between you and another user or any third party arising from your use of the Website.

We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claims. You agree not to settle any such claim without our prior written consent.

11. Third-Party Links and Services

Our Website may contain links to third-party websites, platforms, or services, including payment processors, delivery partners, and social media platforms. These links are provided for your convenience only. Cafe Rio does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of service of any third-party websites or services. Your use of any third-party website or service is governed by that party's terms and conditions and privacy policy. We strongly encourage you to review those terms before using any third-party services accessed through our Website.

12. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Website and services, you consent to the collection and use of your information as described in our Privacy Policy.

To the extent you are a resident of California, your rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) are addressed in our Privacy Policy. Our data practices are also subject to the Federal Trade Commission Act (15 U.S.C. § 45) and applicable state consumer protection laws.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the services provided by Cafe Rio shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Cafe Rio is registered and operates, without regard to any conflict of law principles that would require the application of the law of another jurisdiction.

Subject to the dispute resolution provisions set forth in Section 14 below, you agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.

Nothing in this section shall limit our right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or other proprietary rights.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof ("Dispute"), the parties agree to first attempt to resolve the Dispute informally. You must contact us at [email protected] with a written description of the Dispute, and we will attempt to resolve the matter within thirty (30) days of receipt of your notice.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any Dispute that cannot be resolved through informal negotiation shall be resolved by binding arbitration in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties. Judgment upon the arbitration award may be entered in any court of competent jurisdiction.

The arbitration shall take place in the United States at a location mutually agreed upon by the parties, or, if no agreement can be reached, as determined by the AAA. Each party shall bear its own costs and attorneys' fees in connection with arbitration, except as otherwise required by applicable law or the AAA Rules.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CAFE RIO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ARBITRATION AGREEMENT IN THIS SECTION SHALL BE VOID.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to preserve the status quo pending arbitration. Claims for workers' compensation, unemployment insurance, or other statutory benefits where arbitration is prohibited by applicable law are also excluded from this arbitration requirement.

15. Term and Termination

15.1 Term

These Terms are effective as of May 20, 2026, and shall remain in full force and effect for as long as you access or use the Website or services, unless earlier terminated in accordance with the provisions set forth herein.

15.2 Termination by You

You may terminate your use of the Website and services at any time by ceasing to access or use the Website and, if applicable, by deactivating your account. Termination does not relieve you of any obligations incurred prior to termination, including payment for completed orders.

15.3 Termination by Cafe Rio

We reserve the right, in our sole discretion, to suspend, disable, or terminate your access to the Website and services, with or without cause and with or without notice, including but not limited to cases involving:

  • Violation of any provision of these Terms;
  • Fraudulent, abusive, or harmful conduct;
  • Non-payment for services rendered;
  • Legal requirements or court orders;
  • Discontinuation of all or part of our services.

15.4 Effect of Termination

Upon termination of your access or these Terms for any reason, the following provisions shall survive and remain in full force and effect: Intellectual Property Rights, Payment Terms, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provision that by its nature should survive termination.

16. Changes to Terms

Cafe Rio reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. In the event of material changes, we may also notify you via email (if you have provided an email address) or by posting a prominent notice on our Website.

It is your responsibility to review these Terms periodically. Your continued use of the Website or services after any modifications to the Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Website and services immediately.

17. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, unenforceable, or in conflict with applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, such provision shall be deemed severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect as if these Terms had been executed without the invalid or unenforceable provision.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Cafe Rio with respect to your use of the Website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.

No waiver of any term or provision of these Terms shall be deemed a further or continuing waiver of such term or provision or a waiver of any other term or provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19. Force Majeure

Cafe Rio shall not be held liable or responsible for any delay or failure to perform any obligation under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, government actions, utility failures, internet outages, or disruptions in supply chains. In the event of a force majeure event, we will use commercially reasonable efforts to resume normal operations as quickly as possible.

20. Electronic Communications and Notices

By using our Website or creating an account, you consent to receive electronic communications from Cafe Rio, including order confirmations, promotional messages, policy updates, and other notices. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Any notices you wish to send to Cafe Rio must be submitted in writing via email to the address provided below, or as otherwise directed on our Website. Notices sent by email are deemed received on the day of transmission if no delivery failure notification is received.
